Terms of Service for PrizeSuite

These Terms of Service govern your use of the PrizeSuite Shopify app.

By installing, accessing, or using PrizeSuite, you agree to these Terms. If you do not agree, do not use the app.

1. Service

PrizeSuite provides tools for Shopify merchants to create and manage giveaways, entries, tickets, instant wins, participants, winners, wallet rewards, points, referrals, customer-facing reward pages, storefront display features, notifications, analytics, and related app functionality.

PrizeSuite is provided as a Shopify app for merchant use. Some features may depend on your Shopify store setup, theme setup, active plan, enabled modules, and Shopify platform functionality.

2. Merchant responsibilities

You are responsible for how you configure and operate your giveaways, promotions, rewards, wallet features, points program, referral program, customer communications, and storefront content.

You agree to:

Use PrizeSuite in compliance with applicable laws, regulations, and Shopify rules.
Create and manage only lawful, accurate, and non-misleading promotions.
Provide any notices, rules, disclosures, terms, consents, or eligibility requirements required for your customers.
Make sure your giveaways, contests, sweepstakes, rewards, referrals, and promotional campaigns comply with laws that apply to your business and customers.
Provide accurate account, store, and billing information.
Keep your Shopify store, app access, and related credentials secure.
Review and test your setup before launching a public campaign.

You are solely responsible for your own campaign rules, prize fulfillment, customer communications, taxes, legal compliance, and any obligations related to your promotions or rewards.

3. Giveaways, promotions, and rewards

PrizeSuite provides software tools to help manage giveaway and reward workflows. PrizeSuite does not create your campaign rules, guarantee legal compliance, select your legal obligations, or fulfill prizes on your behalf.

You are responsible for:

Campaign eligibility rules
Prize descriptions and fulfillment
Winner communication
Required disclosures
Customer support
Local, regional, national, or international promotion laws
Any tax, reporting, or compliance obligations related to prizes, rewards, wallet balances, points, referrals, or store credit

You should consult qualified legal or professional advisors when needed before launching promotions, giveaways, contests, sweepstakes, or rewards programs.

4. Prohibited use

You may not use PrizeSuite to:

Violate laws, regulations, or Shopify policies
Run unlawful, misleading, deceptive, or unfair promotions
Infringe the rights of others
Send spam or unauthorized communications
Misuse customer data
Attempt unauthorized access to PrizeSuite, Shopify, or related systems
Interfere with app security, integrity, reliability, or availability
Use the app in a way that creates legal, security, operational, or reputational risk

5. Data and privacy

Your use of PrizeSuite is also subject to our Privacy Policy.

PrizeSuite processes merchant and customer information as needed to provide app functionality, including features such as giveaways, entries, tickets, wallet rewards, points, referrals, customer history, storefront pages, notifications, support, and analytics.

You are responsible for providing any customer notices, privacy disclosures, consent requests, or policy updates required for your store and customers.

6. Shopify platform and third-party services

PrizeSuite works with Shopify and may rely on Shopify APIs, Shopify billing, Shopify themes, app blocks, app embeds, checkout behavior, customer accounts, and other Shopify platform functionality.

Some features may also depend on third-party services, email delivery providers, hosting providers, analytics tools, or integrations used to operate the app.

We are not responsible for outages, changes, limitations, or issues caused by Shopify or third-party services outside our control.

7. Fees and billing

If you subscribe to a paid plan, you agree to pay the applicable fees.

PrizeSuite billing is handled through Shopify billing unless otherwise stated. Fees, plan limits, usage limits, trial availability, and billing terms are shown inside the app, Shopify billing approval screens, or related billing pages.

Your access to certain features may depend on your active plan, trial status, subscription status, promotional access, or plan limits.

8. Availability and changes

We aim to provide a reliable service, but we do not guarantee uninterrupted, error-free, or always-available access.

We may update, modify, suspend, remove, or discontinue features from time to time, including for security, legal, operational, Shopify platform, or product improvement reasons.

9. Support

We may provide support through the contact options shown in the app, documentation, or website.

When contacting support, you may need to provide your store domain, screenshots, affected page or feature, campaign name, order information, customer identifier, or steps needed to investigate the issue.

10. Termination

You may stop using PrizeSuite at any time by uninstalling the app from your Shopify store.

We may suspend or terminate access if you violate these Terms, misuse the app, create legal/security/operational risk, fail to pay applicable fees, or use the app in a way that may harm merchants, customers, Shopify, PrizeSuite, Grimant, or related systems.

After uninstalling the app, some data may be retained or deleted according to our Privacy Policy, legal obligations, operational needs, and Shopify requirements.

11. Disclaimer

PrizeSuite is provided “as is” and “as available,” without warranties of any kind except where warranties cannot be excluded by law.

We do not guarantee that PrizeSuite will meet every merchant requirement, that every campaign setup will be legally compliant, or that all errors or interruptions will be prevented.

12. Limitation of liability

To the maximum extent permitted by law, Grimant and PrizeSuite are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, business opportunity, or customer relationships arising from or related to your use of the app.

To the maximum extent permitted by law, our total liability for any claim related to PrizeSuite will not exceed the amount you paid for the app during the three months before the event giving rise to the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless Grimant, PrizeSuite, and their owners, team members, contractors, and service providers from claims, damages, losses, liabilities, costs, and expenses arising from:

Your use of PrizeSuite
Your giveaways, promotions, rewards, points, referrals, or customer communications
Your violation of these Terms
Your violation of laws, regulations, Shopify rules, or third-party rights
Your customer disputes, prize fulfillment, campaign rules, or reward obligations

14. Changes to these Terms

We may update these Terms from time to time.

When we update the Terms, we will change the “Last updated” date. Continued use of PrizeSuite after updates means you accept the revised Terms.
